IMPORTANT — READ CAREFULLY. BY INSTALLING, COPYING, OR USING THE SOFTWARE,
YOU ("Licensee") AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU
DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
1. GRANT OF LICENSE
Subject to the terms of this Agreement and payment of any applicable fees,
Licensor grants Licensee a non-exclusive, non-transferable, revocable
license to install and use the Software for Licensee's internal business
or personal use only.
2. OWNERSHIP
The Software is licensed, not sold. Licensor retains all right, title,
and interest in and to the Software, including all source code, object
code, algorithms, designs, user interfaces, documentation, and all
intellectual property rights therein. No rights are granted to Licensee
other than those expressly set forth in this Agreement.
3. RESTRICTIONS
Licensee shall NOT, and shall not permit any third party to:
(a) copy, reproduce, or distribute the Software, in whole or in part,
except as expressly permitted herein;
(b) modify, adapt, translate, or create derivative works based on the
Software;
(c) reverse engineer, decompile, disassemble, or otherwise attempt to
derive the source code, underlying ideas, algorithms, file formats,
or non-public APIs of the Software, except to the extent that such
restriction is expressly prohibited by applicable law;
(d) remove, alter, or obscure any copyright, trademark, or other
proprietary notices contained in the Software;
(e) rent, lease, lend, sell, sublicense, assign, transfer, or otherwise
make the Software available to any third party;
(f) use the Software to develop a competing product or service;
(g) use the Software in any manner that violates applicable law.
4. CONFIDENTIALITY
The Software contains trade secrets and confidential information of
Licensor. Licensee shall protect the Software from disclosure using at
least the same degree of care it uses to protect its own confidential
information, and in no event less than reasonable care.
5. FEEDBACK
If Licensee provides any suggestions, ideas, or feedback regarding the
Software, Licensor may use such feedback without restriction or
obligation.
6. TERMINATION
This Agreement is effective until terminated. It terminates automatically
without notice if Licensee fails to comply with any term. Upon
termination, Licensee must cease all use of the Software and destroy all
copies in its possession or control.
7. ESTIMATES, ACCURACY & NO RELIANCE
The Software produces estimates, approximations, and visualisations of
earthwork quantities (including cut and fill volumes), areas,
measurements, takeoff quantities, costs, and schedules. These outputs are
generated from data and parameters that Licensee supplies or selects —
including plan scale and calibration, elevation values, boundaries and
outlines, material swell and compaction factors, unit rates, and the
quality and accuracy of the source documents. OUTPUTS ARE PROVIDED FOR
PRELIMINARY PLANNING AND INFORMATIONAL PURPOSES ONLY. THEY ARE ESTIMATES,
NOT MEASURED SURVEY DATA, AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL
SURVEYING, ENGINEERING, GEOTECHNICAL, OR QUANTITY-SURVEYING JUDGMENT.
LICENSEE IS SOLELY RESPONSIBLE FOR INDEPENDENTLY CHECKING AND VERIFYING
ALL OUTPUTS BEFORE RELYING ON THEM FOR ANY BID, TENDER, QUOTATION,
CONTRACT, PURCHASE, CONSTRUCTION, OR OTHER DECISION. Licensor does not
warrant that any output is accurate, complete, or fit for any particular
purpose.
8. AI FEATURES
Certain features use automated and/or artificial-intelligence processing
(for example, AI-assisted takeoff) to suggest measurements or quantities.
AI output is probabilistic, may contain errors or omissions, and is
provided to assist — not replace — Licensee's review. Licensee must review
and confirm AI-generated results before applying or relying on them. To
provide these features, plan images and related context are transmitted to
a third-party AI provider for processing.
9. NOT PROFESSIONAL ADVICE
The Software is a software tool. Nothing it produces constitutes
professional engineering, surveying, geotechnical, legal, financial, or
other advice, and no professional-client relationship is created between
Licensee and Licensor.
10. YOUR RESPONSIBILITIES & INDEMNITY
Licensee is responsible for the data and parameters it inputs, for
verifying outputs, and for its use of and reliance on the Software and its
outputs. To the maximum extent permitted by law, Licensee agrees to
indemnify and hold harmless Licensor and its officers, employees, and
personnel from and against any claims, losses, liabilities, damages,
costs, and expenses arising out of or in connection with Licensee's use of
the Software or reliance on any output, including claims brought by
Licensee's clients or other third parties.
11. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY
OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING,
LICENSOR DOES NOT WARRANT THAT ANY QUANTITIES, VOLUMES, AREAS,
MEASUREMENTS, COSTS, OR SCHEDULES PRODUCED BY THE SOFTWARE ARE ACCURATE,
COMPLETE, OR FIT FOR ANY PURPOSE. LICENSEE ASSUMES THE ENTIRE RISK AS
TO THE QUALITY, ACCURACY, AND PERFORMANCE OF THE SOFTWARE AND ITS
OUTPUTS.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE,
OR ANY LOSS ARISING FROM INACCURATE OUTPUTS OR LICENSEE'S RELIANCE ON
THEM, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE,
WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL
NOT EXCEED THE FEES PAID BY LICENSEE FOR THE SOFTWARE IN THE TWELVE (12)
MONTHS PRECEDING THE CLAIM, OR USD $50, WHICHEVER IS GREATER.
13. AUSTRALIAN CONSUMER LAW
Nothing in this Agreement excludes, restricts, or modifies any guarantee,
right, or remedy conferred by the Competition and Consumer Act 2010 (Cth),
including the Australian Consumer Law, or any other law that cannot
lawfully be excluded or limited. Where Licensor's liability for breach of
such a non-excludable guarantee can be limited, it is limited, at
Licensor's option, to: (a) in the case of services, re-supplying the
services or paying the cost of having them re-supplied; and (b) in the
case of goods, replacing or repairing the goods or paying the cost of
replacement or repair. Subject to this clause, the DISCLAIMER OF
WARRANTIES and LIMITATION OF LIABILITY clauses above apply to the maximum
extent permitted by law.
14. THIRD-PARTY COMPONENTS
The Software incorporates third-party open-source components (including,
without limitation, pdf.js and three.js) which are licensed under their
own terms. Such components remain the property of their respective
owners and are used in accordance with their respective licenses.
15. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the
laws of Australia and of the State or Territory in which Licensor has its
registered office, excluding conflict-of-laws rules. The parties submit to
the exclusive jurisdiction of the courts of that State or Territory for
the resolution of any disputes.
16. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties
regarding the Software and supersedes all prior or contemporaneous
understandings. If any provision is held unenforceable, the remaining
provisions shall remain in full force and effect.
